Item 1.  Description of Registrant’s Securities to be Registered.

This registration statement relates to the registration with the Securities and Exchange Commission (the “Commission”) of shares of common stock, par value $0.01 per share (the “Common Stock”), of MRI Interventions, Inc., a Delaware corporation (the “Registrant”). The description of the Common Stock set forth under the caption of “Description of Capital Stock” in the Registrant’s Registration Statement on Form S-1 (File No. 333-218960) initially filed with the Commission on June 26, 2017, and as subsequently amended (the “Registration Statement”), is incorporated herein by this reference in response to this Item 1. In addition, any description of such securities in a form of prospectus relating to the Registration Statement subsequently filed by the Registrant with the Commission pursuant to Rule 424(b) under the Securities Act of 1933, as amended, shall be incorporated by reference herein.
